Wirespan Acceptable Use Policy (“AUP”)
This AUP governs the use of all hosting services, hosting solutions, cloud services, domain registration, and other offerings (the “Services”) made available by Wirespan Inc. and its suppliers, brands, and affiliates. This AUP is an integral part of your agreement with Wirespan Inc. and is incorporated by reference into the Terms of Service and Hosting Agreement pursuant to which Wirespan provides you the right to access or use the Services. Access to or use of the Services constitutes your acceptance of this AUP. Wirespan Inc. reserves the right to alter this AUP at any time, and such modifications shall become immediately effective upon posting the modified AUP or by notification to you of the modified AUP.
General Statement
The purpose of this AUP is to establish guidelines for the expected conduct of all users of the Services and to identify actions and content that are contrary to Wirespan’s mission, values, and the interests of its client community. This AUP is intended to protect the Services, infrastructure, employees, and customers of Wirespan, as well as third parties, from improper, inappropriate, abusive, or illegal activity. Wirespan Inc. may suspend, restrict, or terminate your right to access and use the Services if, in its sole determination, it believes you have violated this AUP.
Responsibilities and Prohibited Use
You are responsible for the activities of your agents, representatives, employees, contractors, and end-users (“Users”) and will ensure that all such parties abide by this AUP. The Services shall be used solely for lawful, legitimate business and commercial purposes. You shall not use the Services for activities which, in Wirespan’s sole discretion, are illegal, offensive, abusive, or that interfere with or adversely affect the Services or the experience of other Wirespan clients (including deliberate attempts to overload a system and broadcast attacks) or that would expose Wirespan Inc. to criminal or civil liability.
The following are examples of prohibited activities. This list is not exhaustive, and Wirespan reserves the right to determine in its sole discretion whether any activity constitutes a violation of this AUP. You and your Users agree not to use the Services for:
- Hacking, Intrusion, and Malicious Activity: Unauthorized access to or monitoring of systems, networks, or accounts; distribution of malware, viruses, ransomware, spyware, or other malicious software; phishing, credential harvesting, or identity theft; network scanning or probing without authorization; or any other activity designed to compromise the security or integrity of any system.
- Fraud and Deception: Scamming, fraud, impersonation, forgery, deception, or any activity intended to deceive users, clients, or third parties for financial or other gain.
- Spam and Unsolicited Email: Sending, facilitating, or enabling the transmission of unsolicited bulk email (spam); operating or permitting an open mail relay within the hosting environment; sending mass commercial email without proper recipient consent and functioning opt-out mechanisms; or generating outbound mail volume that threatens the IP reputation of Wirespan’s mail infrastructure or negatively impacts mail deliverability for other clients on the platform. All email activity originating from Wirespan’s infrastructure must comply with applicable laws, including the CAN-SPAM Act.
- Illegal or Infringing Content: Transmitting, distributing, storing, or making accessible any content that is illegal, fraudulent, or that infringes upon any intellectual property right, including copyrights, patents, trademarks, trade secrets, or other proprietary rights belonging to third parties.
- Offensive and Harmful Content: Transmitting or hosting content that is obscene, defamatory, threatening, harassing, or abusive; that advocates or incites violence; that promotes discrimination based on race, gender, religion, national origin, sexual orientation, disability, or other protected characteristics; or that violates any applicable law, regulation, or public policy.
- Excessive Resource Consumption: Using server resources, including CPU, memory, disk I/O, database connections, or network bandwidth, in a manner that is disproportionate to the client’s plan allocation and that negatively impacts the performance, stability, or availability of shared infrastructure or other clients’ services. This applies regardless of whether stated storage or bandwidth plan limits have been individually reached.
- Interference with Services: Deliberate attempts to overload, crash, or degrade Wirespan’s systems or any third-party systems; broadcast or packet flooding attacks; exploitation of server or application vulnerabilities; or any other activity that disrupts the normal operation of the Services or the broader network.
- Unauthorized Data Collection or Surveillance: Unauthorized access to, monitoring of, or collection of data, systems, credentials, or networks belonging to Wirespan, other clients, or third parties.
- Violation of Privacy Laws: Collection, storage, or use of personally identifiable information in a manner that violates applicable data protection and privacy laws, including but not limited to the GDPR, CCPA, and CAN-SPAM Act.
In addition to the above, you and your Users must comply with all applicable federal, state, and local laws, rules, and regulations related to your use of the Services.
Wirespan’s Rights
Wirespan Inc. reserves the right at all times to investigate any actual, suspected, or alleged violation of this AUP. You agree to reasonably cooperate with Wirespan in investigating and correcting any actual or alleged breach of this AUP by yourself or any of your Users. Wirespan reserves the right to cooperate with legal authorities and third parties in investigating any alleged violations of this AUP, including disclosing the identity of any User that Wirespan believes is responsible for such violation. Wirespan may implement technical mechanisms at any time to detect or prevent AUP violations.
Nothing in this AUP limits Wirespan’s rights and remedies at law or in equity.
Consequences of Violations
If Wirespan, in its sole discretion, determines that you or a User has violated this AUP, Wirespan may take any or all of the following actions without prior notice:
- Suspend or restrict access to the Services or specific features of the Services
- Permanently terminate your account and your right to use the Services
- Block specific traffic, content, or outbound mail activity
- Charge you for the reasonable costs of investigating, responding to, and remediating any AUP violation, including Wirespan’s standard hourly rate, applicable legal fees, and any third-party costs incurred
No Refund Upon Termination for Violation: In the event of account suspension or termination due to any violation of this AUP, no refund or credit of any prepaid fees will be issued, regardless of the remaining term or the amount paid in advance.
Disclaimer
Wirespan is under no obligation to monitor client activity or content and disclaims any responsibility for any client’s or User’s misuse of the Services. Wirespan has no responsibility for any material created, stored, transmitted, or made accessible on or through the Services by any client or third party, and is not obligated to monitor or exercise editorial control over such material. In the event that Wirespan becomes aware that any material violates this AUP or exposes Wirespan to civil or criminal liability, Wirespan may, but is not required to, remove, restrict access to, or block such material. Unless otherwise stated in this AUP, Wirespan disclaims any obligation to any person who has not entered into a service agreement with Wirespan.
Reporting Violations
If you become aware of any violation of this AUP by anyone, including your own Users, you must promptly notify Wirespan using the contact form available at https://www.wirespan.com/contact-us/.
